APEX Humanoid Interface - Creator License

This Creator License Agreement governs use of the APEX Humanoid Interface source code, artwork, animations, sound systems, documentation and associated files (the "Software"). By purchasing, downloading, accessing or using the Software, you agree to this Agreement.

1. License Grant

Reznikov Engineering grants the purchaser one perpetual, non-exclusive, non-transferable license to use and modify the Software for personal and non-commercial projects. The Software is licensed, not sold.

2. Permitted Uses

You may use the Software in personal projects, portfolios, educational work, experiments and non-commercial AI assistants; modify source code, colors, effects, animations, interaction behavior and artwork; connect it to AI models, APIs, speech systems, agents, databases and tools for non-commercial use; publish non-commercial deployments; and publish screenshots or videos of your resulting project. General social-media or video advertising revenue does not by itself make the underlying project a Commercial End Product.

3. Commercial Use Prohibited

This license does not permit use in a paid application, subscription service, revenue-generating SaaS product, paid client project, commercial business product, product developed primarily for an employer, or commercially licensed installation. A Commercial, Studio or Enterprise/OEM license is required.

4. Redistribution Prohibited

You may not sell, sublicense, share, publish, redistribute or provide repository access to the Software or substantial reusable portions of it; upload it to a public repository; distribute supplied artwork as standalone files; or package it as a template, starter kit, boilerplate, UI kit, component library, design system, marketplace asset or competing humanoid-interface/source-code product. Cosmetic or structural modifications do not remove these restrictions.

5. AI Coding Tools

You may use AI development tools and coding assistants to modify and integrate the Software for permitted uses, provided your use does not expose or redistribute the Software contrary to this Agreement.

6. APEX Brand

No rights are granted to the APEX name, APEX logo, Reznikov Engineering branding, product identities, trademarks or trade dress. You may truthfully state that your project was built using the APEX Humanoid Interface, but may not imply it is an official APEX product or endorsed by Reznikov Engineering.

7. Ownership

You own original code, artwork, branding, data and other materials independently created by you. Reznikov Engineering retains ownership of the original Software and APEX materials. Modification does not transfer copyright in the underlying Software.

8. Third-Party Components

Third-party libraries, frameworks, fonts, machine-learning components and services remain governed by their own licenses and terms. See THIRD_PARTY_NOTICES.md.

9. Privacy and Device Permissions

Optional features may access camera or microphone after user permission. You are responsible for privacy notices, disclosures and consent mechanisms required for your implementation and jurisdiction.

10. Updates and Support

Unless separately stated, this license covers the purchased version and compatible updates made available to the purchaser. It does not guarantee future functionality, custom development or indefinite support.

11. No Warranty

The Software is provided "as is" without warranties of any kind to the maximum extent permitted by applicable law.

12. Limitation of Liability

To the maximum extent permitted by applicable law, Ruben Mouradian and Reznikov Engineering will not be liable for indirect, incidental, special, consequential, lost-profit, lost-data or business-interruption damages arising from use of the Software.

13. Termination

Rights under this license terminate upon material breach. Upon termination, you must stop unauthorized use and delete unauthorized copies.

14. Upgrade

A Creator License may be upgraded to another tier under upgrade terms offered by Reznikov Engineering at that time.

15. Reservation of Rights

All rights not expressly granted are reserved by Ruben Mouradian / Reznikov Engineering.

How the purchase works

The license is delivered as a ZIP containing the source, the LICENSES/ directory, and a purchaser-specific APEX-LICENSE.txt naming the licensee and a unique License ID. Download links expire after 72 hours and five downloads; fresh links are available from the licenses page. The License ID is the reference for support, upgrades and any dispute.

Upgrades between tiers cost the difference in price and issue a new license record; the earlier record is kept and marked upgraded. Refunds, cancellations and the general terms of sale are governed by the digital purchase terms and Refund & Cancellation Policy, subject to mandatory law and this License Agreement. A refund does not transfer ownership of the software.
